About the Presenters:

J. Daniel Cook, CPCU, CIC, ARM, AMIM, Principal & Practice Leader, TrueNorth Companies

Dan Cook is a principal and the Director of Risk Finance & National Practice Leader at TrueNorth Companies. His responsibilities include helping clients develop risk financing strategies related to reducing cost-of-risk on a long-term, sustainable basis that aligns with their operational objectives. Dan leads the national primary transportation practice in addition to heading large project teams; his passion stems from the 'innovate' and 'build' aspects of a business, procuring development of industry-leading processes, such as the 5C's of Risk FinancingTM approach. Over the past 20 years Dan has developed a Risk Based Due Diligence model that assigns additive or derivative value against EBIDTA. Dan leads the TrueNorth M&A Advisory Group facilitating transactions from both the buy and sale sides. Dan graduated from Ferris State University with a Bachelor of Science in Finance and Insurance.

Michael Y. Lateef, Partner, Hanson Bridgett LLP

Mike Lateef is a Partner at Hanson Bridgett in its San Francisco office. Mr. Lateef is a corporate transactional attorney whose practice focuses on corporate financings, venture capital, tax, and mergers and acquisitions. He works closely with startup and private and public companies on issues related to equity and financings, tax matters, the structuring of executive compensation (including stock arrangements), strategic ventures, acquisitions, and management buy-outs. He counsels clients in all phases of business development, i.e., capital formation, operation, acquisition, and restructuring. Since joining the firm, Mr. Lateef's practice has included material transactions representing a variety of companies in the technology industry (both software and service based companies), health and senior care, and civil construction. He has represented a variety of foreign corporations based in China, India and Europe in establishing U.S. based operations through formation, joint ventures and acquisitions. Client representations include private and non-profit companies such as BYD Company, Ltd, Larsen & Toubro, L&T Technologies, Kuhner AG, and related affiliates and subsidiaries.

Jeffrey R. Simmons, General Counsel, GlobalTranz

Jeff Simmons is General Counsel for GlobalTranz which he joined after 30 years in private practice, most recently with the national law firm of Lewis Brisbois Bisgaard & Smith LLP. While in private practice, Mr. Simmons represented motor, rail, ocean and air carriers, as well as brokers, before courts, regulatory agencies and in contract negotiations. He currently serves as President Elect of the Transportation Lawyers Association (TLA) and is a past Chairman of the Conference of Freight Counsel. While in private practice, Mr. Simmons was named in the Best Lawyers in America® in the field of Transportation Law and in Southwest Super Lawyers ® in the area of Transportation/Maritime Law. In 2014, he received the TLA's Distinguished Service Award, and in 2017, First Chair's Top General Council Award. Mr. Simmons is a graduate of Georgetown University and University of Arizona College of Law.

William D. Taylor, Partner, Hanson Bridgett LLP

Bill Taylor is a Partner and Shareholder for Hanson Bridgett. He maintains both a transactional and litigation business practice. He represents all types of business ventures, both publicly and privately owned. He has significant experience in all aspects of the transportation industry throughout the U.S. and global markets, and in all areas of domestic and international logistics law and policy. He has a keen understanding of the intricate contractual arrangements central to the movement of products in intrastate, interstate and foreign commerce. He consults clients regarding co-employer claims related to independent contractor relations, and has represented private and publicly-traded corporate clients in asset and equity-based mergers and acquisitions, restructurings, successorship planning, complex contract strategies and negotiations. He provides day-to-day counseling and assists clients with internal and external legal requirements, including regulatory compliance and regularly represents clients in hearings before administrative agencies with jurisdiction over enforcement and compliance issues, including the California PUC. Mr. Taylor is a past president of the Transportation Lawyers Association and founder of the Firm's transportation and logistics practice group. He was recently elected as President of Globalaw LTD, for which Hanson Bridgett serves as its Northern California representative.
